TERMS OF SERVICE
Last updated 22 October 2026
1. Agreement. Acceptance of a quote forms a binding agreement between the client and Openi Pty Ltd (“Openi”) on these terms. Where any conflict of terms arise, these terms prevail over any purchase order, procurement portal terms or other document issued by the client, unless varied in writing signed by both parties.
2. Scope. Openi will provide only the services described in this quote. Anything not expressly listed as included is excluded. Additional subjects, re-runs, refreshes, remediation or implementation work are separate engagements and require a new quote.
3. Fees and GST. Fees are in Australian dollars and exclusive of GST, which will be added at the prevailing rate. [50% is payable on acceptance and the balance prior to release of the report. / Fees are payable in full on acceptance.] Invoices are payable within [14] days. Openi may withhold delivery while any amount is overdue, and may charge interest on overdue amounts at [the RBA cash rate plus 4%] per annum.
4. Client obligations. The client must provide accurate and complete subject details. The client warrants that it has a lawful purpose for the engagement and holds any authority, consent or lawful basis required for Openi to research the named subject and for the client to receive and use the report. Openi is entitled to rely on that warranty without further enquiry.
5. Permitted use. The report is provided for the client’s internal business or personal purposes only. The client must not use it to harass, intimidate or locate an individual for an improper purpose, nor as the sole basis for any adverse decision affecting a person, nor in any way that contravenes the Privacy Act 1988 (Cth) or other applicable law. The client must make its own enquiries and obtain its own legal advice before acting on the report.
6. Method and limitations. Openi’s work uses publicly available information and licensed commercial data sources, reviewed by a human analyst. Openi does not conduct covert collection, physical observation, tracking, or interception of communications, and does not access material that is not lawfully available to it. Findings are a point-in-time account of information available during the research window. Openi does not warrant that the report is complete, nor the accuracy of information originating from third-party sources, and gives no continuing representation after delivery.
7. Not legal or professional advice. The report is advisory in nature. It is not legal advice, is not prepared for use in legal proceedings, and is not a security, employment or credit determination.
8. Confidentiality. Each party must keep the other’s confidential information confidential and use it only for the engagement. Openi will not disclose the client’s identity or the existence of the engagement without consent, except as required by law.
9. Privacy and data handling. Openi handles personal information in accordance with the Australian Privacy Principles and its Privacy Policy. Engagement data is stored in Australia. Any overseas personnel engaged by Openi, where possible, operate in a segemented manner, receive only partial, aggregate, de-identified information and do not receive finished engagement outputs or personal information operating on Australian infrastructure. Working material is securely destroyed on request of the client received in writing after a 12 month period.
10. Intellectual property. Openi retains all intellectual property in its methodology, templates, tooling and know-how. On payment in full, the client receives a non-exclusive, non-transferable licence to use the report for its internal business purposes. The report must not be published, distributed externally, or provided to a third party without Openi’s prior written consent, other than to the client’s professional advisers under equivalent confidentiality.
11. Delivery. Delivery timeframes are estimates and run from acceptance of this quote and receipt of all required subject details. Openi is not liable for delay caused by incomplete client information or by third-party data source availability.
12. Cancellation. If the client cancels after acceptance, fees for work performed to that point are payable, and any deposit is non-refundable. Openi may decline or discontinue an engagement where it forms the view that proceeding would be unlawful, unethical, or outside its accreditation or licensing.
13. Liability. To the extent permitted by law, Openi’s total liability arising from the engagement is limited to the fees paid for that engagement, and Openi is not liable for indirect or consequential loss, loss of profit, or loss of opportunity. Nothing in these terms excludes rights the client has under the Australian Consumer Law that cannot be excluded; where liability for a failure to comply with a consumer guarantee may be limited, Openi’s liability is limited to resupplying the services or paying the cost of resupply, at Openi’s election.
14. Governing law. These terms are governed by the laws of New South Wales, Australia and the parties submit to the exclusive jurisdiction of its courts.
